Governing Document Committee
Charter:
The Governing Document Committee (GDC) shall have Chairs or Co-Chairs appointed by the SWCM Board of Directors. The GDC will be governed by the Chair(s). The numbers and qualifications of the members of the GDC will be determined by the chairs but shall include no less than three and no more than seven members.
The GDC is a standing committee. Meetings are by a quorum of its members. The SWCM Board liaison is TBD. The GDC may meet as it determines, but shall not meet less than quarterly. The GDC shall report to the SWCM Board in writing and in person, if requested at an open meeting of the SWCM board, but not less than one time prior to the SWCM annual meeting.
Responsibilities of the GDC is to provide information to SWCM board about topics referenced in the Statement of Purpose.
Statement of Purpose:
The GDC is established to to review, draft and recommend amendments to the SWCM governing documents. These include, but are not limited to the Declarations of Covenants and Restrictions (CCRs), By-laws, Articles, Policies, Rental and Occupancy Agreements and any other relevant documents. They are to identify outdated or inconsistent provisions that may require clarification or amendment. Further, they are to draft and recommend new documents in accordance with the California Davis-Sterling Act, et. seq., CA Civil Code, et. seq., as well as with other federal, state and local laws and the needs of the mutual. The recommendations for changes/amendments of any of the governing documents will be presented to the SWCM Board.
